By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

1. Acceptance of Terms

By creating an account or using our Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old to use our Service.

2. Account Registration and Security

To use certain features of our Service, you must register for an account. You agree to:

  • Provide accurate and complete registration information

  • Maintain the security of your password and account

  • Accept responsibility for all activities that occur under your account

  • Promptly notify us of any unauthorized use of your account

We reserve the right to suspend or terminate your account if we suspect any unauthorized use or violation of these Terms.

3. Early Access and Beta Features

The Service or certain features may be offered as early access, beta, or preview ("Beta Features"). Beta Features are provided "as is" and may contain bugs, errors, or incomplete functionality. We may modify, suspend, or discontinue Beta Features at any time without notice. Access to the Service may be limited to approved users during early access periods. By using Beta Features, you acknowledge that they may not perform as expected and agree that we shall have no liability arising from your use of Beta Features.

4. Use of Service

4.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service for your internal business purposes, subject to these Terms.

4.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any law

  • Interfere with or disrupt the Service or its infrastructure

  • Attempt to gain unauthorized access to any part of the Service

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service to compete with WarTable™

  • Use the AI assistant to generate harmful, fraudulent, or illegal content

  • Attempt to extract, scrape, or harvest data from the Service through automated means

  • Use the code execution sandbox to mine cryptocurrency, attack external systems, or conduct any malicious activity

  • Share your account credentials or allow others to access your account

  • Circumvent any access controls, action allowlists, or security features

5. Workspaces and Multi-User Access

The Service supports multi-user workspaces with role-based access control. Workspace roles include Owner, Admin, and Member, each with different permissions.

  • Workspace Owners** are responsible for managing workspace settings, members, and connected integrations

  • Workspace Admins** may manage members and certain workspace settings as delegated by the Owner

  • Workspace Members** may access workspace resources according to the permissions granted by Owners or Admins

Content uploaded or synced to a workspace may be accessible to all members of that workspace. Workspace Owners are responsible for ensuring that appropriate members have access and that sensitive data is handled in accordance with their own organizational policies.

6. User Content

You retain ownership of any content you upload to the Service ("User Content"), including documents, data, and other materials. By uploading User Content, you grant us a worldwide, non-exclusive license to use, store, process, and create derivative works (such as vector embeddings, summaries, and AI-generated analyses) of such content solely to provide and improve the Service. You are solely responsible for your User Content and must ensure it does not violate any laws, third-party rights, or the terms of the third-party services from which the content originates.

7. AI-Generated Content and Limitations

Our Service uses artificial intelligence to generate responses, insights, business evaluations, recommendations, and other outputs ("AI Outputs"). You acknowledge and agree that:

  • No Guarantee of Accuracy: AI Outputs may contain errors, inaccuracies, or hallucinations. They should not be relied upon as the sole basis for business decisions, legal advice, financial advice, medical advice, or any other professional guidance.

  • Human Review Required: You are responsible for reviewing and verifying all AI Outputs before acting upon them. AI Outputs are intended to assist, not replace, human judgment.

  • No Professional Advice: AI Outputs do not constitute professional advice of any kind. You should consult qualified professionals for specific business, legal, financial, or other professional guidance.

  • Third-Party AI Providers: AI Outputs are generated using third-party AI model providers (including OpenAI, Anthropic, Google, and others via OpenRouter). These providers may update, modify, or change their models at any time, which may affect the quality or nature of AI Outputs.

  • Code Execution: The AI assistant may generate and execute code in a secure sandbox environment. You are responsible for reviewing any code outputs and understanding their effects before using them in your own systems or workflows.

  • Voice AI: AI-powered phone assistants operate autonomously during calls. You are responsible for ensuring that your voice AI assistants comply with applicable laws, including call recording and consent requirements in your jurisdiction.

8. Third-Party Integrations

The Service enables you to connect third-party applications and services through our integration platform and direct OAuth connections. By connecting third-party services, you acknowledge and agree that:

  • You are authorizing us to access, retrieve, and process data from those services on your behalf

  • The AI assistant may perform actions in connected services (e.g., sending emails, creating tasks, updating records) when you grant permission through the action allowlist

  • You remain bound by the terms of service and acceptable use policies of each connected third-party service

  • We are not responsible for the availability, accuracy, or security of third-party services

  • You may disconnect any third-party service at any time through your workspace settings

  • Actions performed by the AI assistant in connected services are done on your behalf and under your authority; you are responsible for the consequences of those actions

9. Intellectual Property

The Service, including all AI models, business engines, software, user interfaces, and proprietary content (excluding User Content and AI Outputs), is owned by WarTable™ and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission. AI Outputs generated using your data are provided for your use. However, due to the nature of AI systems, similar or identical outputs may be generated for other users with similar inputs. We make no claim of exclusivity over AI Outputs.

10. Payments and Billing

Access to paid features requires an active subscription. Our Subscription Terms are part of these Terms and govern every paid plan. In summary:

  • Monthly automatic renewal: Subscriptions are billed monthly via Stripe and renew automatically each month until you cancel. By subscribing, you authorize us to charge your payment method for your plan, applicable taxes and any usage charges until you cancel.

  • Subscription Plans: Available plans and their features are described on our pricing page. Plan limits (workspaces, members, AI credits, storage) apply as described for your selected plan.

  • Usage-Based Charges: Certain features (AI credits, storage overages, phone agent usage) may incur additional metered charges beyond your plan's included amounts.

  • Plan Changes: Upgrades and downgrades take effect immediately. Upgrades are charged a prorated amount right away; downgrades credit the unused part of your current plan to your next invoice.

  • Cancellation: You can cancel at any time in the app (Settings → Billing → Manage). Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.

  • Non-Refundable: All fees are non-refundable except where required by applicable law.

  • Failed Payments: If a payment fails, access to paid features may be suspended until payment is resolved.

  • Price Changes: We'll email you at least 30 days before a price change applies to your subscription, and you can cancel before it takes effect.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause and with or without notice. You may also close your account at any time. Cancelling a paid subscription on its own is covered in Section 10 and our Subscription Terms. When an account is closed or terminated:

  • Your right to use the Service immediately ceases

  • You may request data export within 30 days of termination

  • We will delete your data in accordance with our Privacy Policy retention schedule

  • Connected third-party integrations will be disconnected

  • Any active voice AI phone assistants will be deactivated

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free

  • AI-generated insights, evaluations, or recommendations will be accurate, complete, or reliable

  • Third-party integrations will function without interruption

13. Limitation of Liability

To the maximum extent permitted by law, WarTable™ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from:

  • Your use of or inability to use the Service

  • Actions performed by the AI assistant in connected third-party services

  • Errors, inaccuracies, or failures in code execution

  • Unauthorized access to or alteration of your data

  • Any third-party service failures or data breaches

  • Interactions with voice AI phone assistants

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless WarTable™ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Service or violation of these Terms

  • Your User Content or any data you provide to the Service

  • Actions performed by the AI assistant on your behalf in third-party services

  • Your use of voice AI phone assistants, including compliance with call recording and consent laws

  • Any violation of applicable laws or third-party rights

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the City and County of Saint Louis, Missouri, and you consent to the personal jurisdiction of such courts.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, third-party service failures, cyberattacks, or other force majeure events.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes, we will make reasonable efforts to provide advance notice (such as via email or an in-app notification). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
